These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Sunsets HQ Corp., a Delaware corporation ("Sunset," "we," "us," or "our"). These Terms govern your access to and use of the website sunsethq.com and the Sunset platform (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. Description of Services

Sunset provides legal, tax, and operational services for winding down venture-backed startups and other corporate entities. Our Services may include, but are not limited to, corporate dissolution, capital redistribution, asset disposition, final tax filings, regulatory compliance, creditor notifications, and related advisory services.

The specific scope, timeline, and terms of any engagement are defined in a separate service agreement or statement of work entered into between you and Sunset. In the event of a conflict between these Terms and a signed service agreement, the service agreement shall control.

2. Eligibility

You must be at least 18 years of age and have the legal capacity and authority to enter into a binding agreement to use our Services. If you are accessing our Services on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms and that the entity is duly organized and in good standing under applicable law.

3. Account Registration and Security

Certain features of our Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@sunsethq.com if you become aware of any unauthorized use of your account.

4. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable federal, state, local, or international law or regulation
  • Provide false, misleading, or incomplete information in connection with your use of the Services
  • Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services
  • Use any automated means, including robots, crawlers, or scrapers, to access the Services without our prior written consent
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein
  • Reverse engineer, decompile, or disassemble any aspect of the Services

5. Fees and Payment

Fees for Sunset's Services are established prior to the commencement of any engagement and are set forth in the applicable service agreement. Unless otherwise expressly stated in your service agreement:

  • All fees are quoted and payable in United States dollars
  • Payment is due in accordance with the schedule specified in your service agreement
  • All fees are non-refundable once services have commenced
  • We reserve the right to suspend or terminate Services for non-payment

You are responsible for all taxes associated with your use of the Services, excluding taxes based on Sunset's net income.

6. Confidentiality

Each party acknowledges that it may receive confidential and proprietary information of the other party in connection with the Services. Each party agrees to hold such confidential information in strict confidence and not to disclose it to any third party except as expressly permitted by the disclosing party or as required by law. This obligation of confidentiality survives the termination of these Terms for a period of three (3) years.

7. Intellectual Property

All content, features, functionality, trademarks, service marks, trade names, logos, and other intellectual property displayed on or through the Services are owned by Sunset, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from our Services without our prior written consent, except as incidental to normal web browsing.

8. User Representations and Warranties

By using our Services, you represent and warrant that:

  • All information you provide to us is truthful, accurate, and complete
  • You have the legal right and authority to provide any documents, data, or information submitted to us
  • Your use of the Services does not violate any applicable law, regulation, or obligation
  • You will cooperate in good faith with Sunset in the performance of the Services

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUNSET, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SUNSET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUNSET'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SUNSET DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sunset and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any information or materials you provide to Sunset that are inaccurate, incomplete, or misleading.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SUNSET DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. SUNSET DOES NOT PROVIDE LEGAL, TAX, OR FINANCIAL ADVICE THROUGH THE WEBSITE. ANY INFORMATION PROVIDED THROUGH THE WEBSITE IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.

12.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in New York City, New York before a single arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction thereof. This clause shall not preclude the parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to confidentiality, intellectual property, limitation of liability, indemnification, and dispute resolution provisions.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Waiver

No waiver by Sunset of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Sunset to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms, together with any applicable service agreement and our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Sunset regarding the use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.
